Net Consultancy Limited (NCL) will not be held responsible for any advice or legal or accounting due diligence performed for you or on your behalf by third parties other than our own staff or persons and companies retained by us in relation to the Consultancy Services. It is your responsibility to ensure that the advice of your other advisors in connection with the Services is received and considered by you and its adequate for the purposes. We will not be responsible for any services or advice in respect of services or advice provided by persons other than ourselves and out directly engaged subcontractors.
Where appropriate we will indicate in our presentations and handouts the sources of information used. Given the nature of the work and the time and information constraints involved. We cannot accept responsibility for the accuracy or completeness of information provided to us whether through you and your advisors, the target company of site or company or any third party. For the avoidance of doubt, you confirm that you do not want us independently to verify any of the information provided to us through you and your advisors or by the target site or company.
You agree to keep NCL informed of any material information and any developments events, or proposals of which you become aware which may have an effect on the Service or which could otherwise materially affect or influence the works we are undertaking in connection with it and to tell us immediately if you discover anything which renders or is likely to render any information or opinion previously supplied to us untrue, unfair, misleading or inaccurate. We normally present our conclusions at one or more oral presentations. This will reflect our best judgment in the circumstances in light of the information available to us at the time. Everyone who attends our presentations will be entitled to receive, subject to your concurrence, a handout containing the presentation graphics we have used. We will have no obligation to update our conclusion for events or transactions occurring subsequent to the date of the concluding presentation.
You agree that any advice we give at our presentation or in our handouts is provided solely for your benefit in connection with the consulting service. It may not be used or relied upon by you for any other purpose or disclosed by you to any person without our prior written consent. Violation of the above is construed as Copyright Infringement. All other documents presentations, discussions, faxes, emails, telephone calls and any other communications between the contracted parties are CONFIDENTIAL and cannot be discussed with any third parties without NCL written consent.
You are solely responsible for any decision you may take arising out of or with reference to the consulting services and NCL shall not be liable for any loss or damage arising out of our work undertaken except to the extent caused by our willful misconduct or gross negligence. In any event, our aggregate liability in respect of our Services will be no greater than the amount paid to us for our work on the Project.
All Services undertaken will be governed by and construed in accordance with English law. By accepting this agreement you submit to the exclusive jurisdiction of the English courts. Any reference to NCL or "the services" or "the consulting services" means Net Consultancy Limited, its directors, employees and agents.
